CHRISTOPHER O’CALLAGHAN Chris has extensive experience in corporate finance and strategic planning working with both healthy and distressed companies. His areas of focus are forecasting and budgeting, valuation, financial modeling and transaction structuring. As both a financial advisor and a principal investor, Chris has been active in sectors ranging from basic industries such as steel manufacturing and produce distribution to high tech industries such as interactive media and telecom equipment. Some of the clients Chris has worked with include: A manufacturer of generic pharmaceuticals: Worked with management to provide financial analysis and support to continue effective operations in Chapter 11 as it worked to create a Plan of Reorganization. A developer of enterprise software: The Company required additional equity to fund anticipated working capital deficits and solidify the balance sheet ahead of a planned organized sale process. A new equity investment was negotiated with existing shareholders, which included the buyout of a single dissenting shareholder and the conversion of earlier rounds of financing to preserve the value of capital already in the business. Canadian distributor of fresh produce: Represented the owners of this privately-held importer and distributor of fresh produce. The Company was sold to a publicly-traded US acquirer. The sale was structured as a cross-border pooling of interest transaction. Leading developer of software for content delivery over the Internet and distance learning: Acted as the senior finance executive on an interim basis. Led the development of the annual budget and operational plan. Created P&L statements for each product line to better gauge profitability and allocation of expenses. Recruited full-time COO / CFO.
